DocuExprt Terms of Use

1. Agreement Overview
These Terms of Use ("Terms") constitute a legally binding agreement between Splashgain Technology Solutions Pvt. Ltd. ("Splashgain", "we", "us", or "our") and the enterprise entity accessing or using DocuExprt ("Platform") at docuexprt.com ("Client", "you", or "your").
By registering for an account, purchasing tokens, accessing the Platform, or using any DocuExprt APIs, you agree that:
1. You have read, understood, and accept these Terms in full
2. You are authorized to enter into this agreement on behalf of your organization
3. Your organization agrees to be bound by these Terms
If you do not agree to these Terms, do not access or use DocuExprt.
These Terms apply to:
- Web application access at docuexprt.com
- DocuExprt REST APIs and webhooks
- All DocuExprt integrations and plugins
- Agentic workflow builder and automation features
- All document verification, extraction, and processing services
2. Definitions

| Client | The enterprise organization that has registered for and uses DocuExprt |
| End User | An employee, contractor, or agent of the Client authorized to access the Platform |
| Document Subject | A third-party individual whose documents or personal data are submitted to the Platform by the Client |
| Tokens | Pre-purchased processing credits required to consume verification and extraction services |
| Workspace | An isolated processing environment within the Platform assigned to a Client or a Client's department |
| Workflow | An automated document processing pipeline built using the DocuExprt Agentic Workflow Builder |
| Template | A pre-configured or custom document processing configuration for a specific document type |
| Government Verification API | A third-party licensed API service used to verify documents against official government databases |
| Output | Structured data, verification results, or extracted fields returned by the Platform after processing |
| Confidential Information | Non-public technical, business, or financial information disclosed by either party |
| Intellectual Property | Patents, copyrights, trademarks, trade secrets, algorithms, and software |
3. Eligibility and Account Registration
3.1 Eligibility
DocuExprt is an enterprise B2B platform. To use the Platform, you must:
- Be a legally registered business entity, LLP, partnership, government body, or institution
- Have the legal authority to enter into binding contracts
- Be at least 18 years of age (for individual consultants or sole proprietors)
- Not be prohibited from using the Platform under applicable law
DocuExprt does not offer services to individual consumers acting in a personal capacity.
3.2 Account Registration
To access the Platform, you must register an account by providing:
- Organization name and type
- Authorized contact name and business email address
- GSTIN or equivalent tax identifier (for invoicing in India)
- Intended use case and industry
You are responsible for:
- Providing accurate, current, and complete registration information
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Promptly notifying us of any unauthorized access at security@docuexprt.com
You may not share login credentials between End Users. Each End User must have a separate account within your workspace.
3.3 Account Verification
We reserve the right to verify the identity and legitimacy of any Client before activating an account. We may request additional documentation including business registration certificates or GST registration.
4. License Grant and Restrictions
4.1 License Grant
Subject to these Terms and timely payment of applicable fees, Splashgain grants you a:
- Non-exclusive
- Non-transferable
- Non-sublicensable
- Revocable
- Limited
license to access and use DocuExprt solely for your internal business operations during the subscription term.
4.2 API Access
If you access DocuExprt via API, the license includes the right to:
- Integrate DocuExprt APIs into your internal systems and client-facing products (subject to enterprise licensing)
- Make API calls within your purchased token and rate limits
- Use API outputs in your downstream systems and workflows
API credentials (keys and tokens) are confidential. You must not embed API keys in publicly accessible code repositories or client-side applications.
4.3 License Restrictions
You must not:
- Copy, modify, distribute, sell, or sublicense the Platform or any component of it
- Reverse-engineer, decompile, or disassemble any part of the Platform
- Access or attempt to access any part of the Platform beyond your authorized scope
- Use the Platform to build a competing product or service
- Remove or alter any proprietary notices, watermarks, or branding on the Platform
- Use automated bots, scrapers, or crawlers against the Platform (other than authorized API integrations)
- Circumvent usage limits, rate limits, or token balances
5. Token-Based Usage and Billing
5.1 Token System
DocuExprt operates on a prepaid token model. Each document verification, extraction, or processing operation consumes a defined number of tokens based on the service type and document category. Token rates are published in your account dashboard and may be updated with 30 days' notice.
5.2 Token Purchases
- Tokens are purchased in advance via invoice and bank transfer (NEFT/RTGS/IMPS)
- Invoices are issued in Indian Rupees (INR) for India-based Clients, and USD or applicable currency for international Clients
- Tokens are credited to your account upon confirmation of payment receipt
- Token purchases are non-refundable except as specified in Section 5.5
5.3 Token Validity
Tokens have a validity period from the date of purchase, as specified in your subscription agreement or invoice. Unused tokens that expire are forfeited unless a written extension is agreed upon before the expiry date.
5.4 Auto-Alerts and Low Balance Notifications
You may configure email threshold alerts for low token balance. DocuExprt is not responsible for service interruptions caused by insufficient token balance.
5.5 Refund Policy
Token refunds are not provided for consumed transactions. Refund requests for unused tokens may be considered in the following cases only:
- Technical malfunction causing incorrect token deduction (supported by audit logs)
- Account closure within 7 days of first token purchase with zero processing usage
- Duplicate payment due to a bank error
Refund requests must be submitted in writing to billing@docuexprt.com with supporting documentation. Approved refunds will be processed within 15 business days.
5.6 Government Taxes
All amounts are exclusive of Goods and Services Tax (GST) and any other applicable taxes. GST will be charged at the prevailing rate and shown separately on invoices. You are responsible for any withholding tax obligations under Indian or applicable law.
6. Acceptable Use Policy
You agree to use DocuExprt only for lawful, legitimate, and authorized business purposes. The following uses are expressly permitted:
- KYC and onboarding verification for your customers or employees
- Background verification and credential authentication
- Document data extraction for business workflow automation
- Regulatory compliance verification (GSTIN, FSSAI, professional licenses, etc.)
- Fraud prevention and document authenticity checks
- Procurement and vendor due diligence
- Academic and employment record verification
7. Prohibited Uses
The following are strictly prohibited. Violation may result in immediate account suspension:
7.1 Illegal and Unauthorized Processing
- Processing documents without the consent of the Document Subject, where consent is legally required
- Using the Platform in violation of DPDPA 2023, IT Act 2000, Aadhaar Act 2016, or any applicable data protection law
- Processing documents belonging to individuals without a legitimate business purpose
- Attempting to access, verify, or extract data about individuals without authorization (unauthorized surveillance)
7.2 Identity Fraud and Misrepresentation
- Submitting forged, altered, or falsified documents to the Platform
- Using verification results to facilitate identity fraud, impersonation, or financial crime
- Misrepresenting verification outcomes to third parties
7.3 System Abuse
- Attempting to circumvent, bypass, or test the security of the Platform
- Sending malicious files, scripts, or malware through document uploads
- Conducting denial-of-service or load testing against the Platform
- Accessing other Clients' data, workspaces, or accounts
- Creating multiple accounts to circumvent token limits or restrictions
7.4 Regulatory Violations
- Using Aadhaar or PAN verification outputs for any purpose not permitted under the Aadhaar Act, PAN regulations, or UIDAI guidelines
- Storing or archiving Aadhaar numbers or biometric data in violation of UIDAI regulations
- Sharing verification API results with unauthorized third parties
7.5 Mass Personal Data Collection
- Using the Platform to build unauthorized databases of personal information about individuals
- Aggregating verification results to create profiles of individuals for non-disclosed purposes
- Bulk-processing documents for which you do not have a legitimate business relationship with the Document Subject
8. Client Data Responsibilities
8.1 Client as Data Controller
For all documents and personal data of Document Subjects submitted to DocuExprt, you (the Client) are the Data Controller under applicable law, including DPDPA 2023 and GDPR. Splashgain processes this data as your Data Processor under your instructions.
As Data Controller, you are solely responsible for:
- Obtaining all necessary consents, authorizations, and legal bases for processing the personal data of your customers, employees, or other Document Subjects before submitting it to DocuExprt
- Ensuring compliance with all applicable data protection laws in your jurisdiction
- Responding to data subject requests (access, correction, erasure) from your Document Subjects
- Ensuring that documents submitted are genuine and not fraudulently obtained
8.2 Data Processing Agreement
For Clients processing personal data subject to DPDPA 2023 or GDPR, a formal Data Processing Agreement (DPA) is available upon request. Contact sales@docuexprt.com. For large-volume enterprise deployments, a DPA is mandatory.
8.3 Client Data Ownership
You retain full ownership of all documents, data, and outputs within your workspace. DocuExprt claims no ownership over Client data. Upon account termination, your workspace data will be deleted within 30 days.
8.4 Accuracy of Submissions
You are responsible for the accuracy and legitimacy of all documents submitted to the Platform. DocuExprt verification outputs reflect the response from government databases and third-party API providers — they are not a guarantee of legal compliance or document authenticity beyond the scope of the specific verification performed.
9. Government Verification APIs and Third-Party Services
9.1 Government API Accuracy
Government verification results (Aadhaar, PAN, GSTIN, Passport, DL, etc.) are returned directly from licensed third-party API providers connected to official government databases. While we strive for high accuracy:
- Verification results are dependent on the accuracy and availability of government databases
- Splashgain is not responsible for outdated, incorrect, or unavailable government records
- Temporary unavailability of government APIs does not constitute a breach of these Terms
- All verification results should be used as one factor in your decision-making, not as a sole determinant
9.2 Third-Party Integration Disclaimers
DocuExprt integrates with third-party cloud storage services (Amazon S3, Azure Blob, GCP, Digital Ocean, iDrive) and communication tools. Splashgain is not responsible for:
- Downtime, data loss, or security incidents within third-party services
- Changes to third-party APIs that affect integration functionality
- Any breach or unauthorized access occurring within Client-owned third-party storage
9.3 Third-Party Terms
Your use of integrated third-party services is also governed by those providers' terms of service. You are responsible for compliance with all third-party terms applicable to your usage.
10. Intellectual Property
10.1 Splashgain IP
All intellectual property in the DocuExprt Platform, including but not limited to:
- Software code, algorithms, and AI/ML models
- Agentic workflow engine
- Document processing pipelines and fraud detection logic
- User interface design, brand assets, and documentation
- Pre-built templates and verification configurations
is and remains the exclusive property of Splashgain Technology Solutions Pvt. Ltd.. These Terms do not transfer any ownership rights to you.
10.2 Client IP and Feedback
You retain all intellectual property rights in your custom templates, workflow configurations, and documents. If you provide feedback, suggestions, or feature requests about the Platform, you grant Splashgain a perpetual, royalty-free license to use that feedback to improve DocuExprt without any obligation to compensate you.
10.3 Trademark Usage
You may not use the "DocuExprt" name, logo, or any Splashgain trademark in marketing materials, press releases, or case studies without prior written consent. For co-marketing or case study requests, contact marketing@docuexprt.com.
11. Confidentiality
11.1 Mutual Confidentiality
Each party agrees to:
- Keep the other party's Confidential Information strictly confidential
- Use Confidential Information only for the purposes of this agreement
- Not disclose Confidential Information to any third party without prior written consent
- Apply at least the same standard of care as it applies to its own confidential information (but no less than reasonable care)
11.2 Exclusions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach of these Terms
- Was already known to the receiving party prior to disclosure
- Is independently developed by the receiving party without use of Confidential Information
- Must be disclosed by law, regulation, or court order (with prompt notice to the disclosing party where legally permitted)
11.3 Survival
Confidentiality obligations survive termination of these Terms for a period of 3 years.
12. Warranties and Disclaimers
12.1 Splashgain Warranties
Splashgain warrants that:
- It has the right to enter into these Terms and grant the licenses described herein
- It will use commercially reasonable efforts to maintain Platform availability
- It will process data in accordance with the Privacy Policy and applicable law
- It maintains reasonable security measures as described in the Privacy Policy
12.2 Client Warranties
You warrant that:
- You have the legal authority to enter into these Terms
- You will use DocuExprt only for lawful purposes
- All documents submitted for processing are submitted with appropriate authorization
- You have implemented adequate security measures to protect your End User credentials
12.3 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE"
- SPLASHGAIN DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
- SPLASHGAIN DOES NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF GOVERNMENT VERIFICATION RESULTS — THESE ARE SOURCED FROM THIRD-PARTY GOVERNMENT DATABASES
- SPLASHGAIN EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- VERIFICATION OUTPUTS FROM DOCUEXPRT DO NOT CONSTITUTE LEGAL ADVICE AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR LEGAL, FINANCIAL, OR REGULATORY DECISIONS
13. Limitation of Liability
13.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPLASHGAIN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13.2 Exclusion of Consequential Damages
IN NO EVENT SHALL SPLASHGAIN BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITY
- LOSS OF DATA OR CORRUPTION OF DATA
- BUSINESS INTERRUPTION
- DAMAGE TO REPUTATION OR GOODWILL
EVEN IF SPLASHGAIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.3 Exceptions
The limitations in Sections 13.1 and 13.2 do not apply to:
- Liability arising from gross negligence or willful misconduct by Splashgain
- Liability for death or personal injury caused by Splashgain's negligence
- Any liability that cannot be excluded or limited under applicable law
14. Indemnification
You agree to defend, indemnify, and hold harmless Splashgain Technology Solutions Pvt. Ltd., its directors, officers, employees, and agents from and against any claims, liabilities, damages, fines, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of applicable law, including data protection laws
- Your submission of fraudulent, forged, or unlawfully obtained documents
- Your processing of personal data without required consents
- Infringement of third-party intellectual property rights by your use of the Platform
- Claims by Document Subjects arising from your data handling practices as Data Controller
- Your negligence or willful misconduct
15. Platform Availability and Service Levels
15.1 Uptime Target
Splashgain targets 99% monthly uptime for the DocuExprt Platform, excluding scheduled maintenance windows. Actual uptime may vary. Uptime is defined as the Platform being accessible and functional for the processing of documents.
15.2 Scheduled Maintenance
Splashgain will provide at least 48 hours' notice for scheduled maintenance that results in Platform downtime. Emergency maintenance may be performed without advance notice.
15.3 No Uptime Guarantee
These Terms do not include a guaranteed SLA with credit-backed uptime commitments unless explicitly specified in a separate Enterprise Service Level Agreement (SLA) signed between the parties. For enterprise SLA requirements, contact sales@docuexprt.com.
15.4 Third-Party Availability
The availability of government verification APIs is outside Splashgain's control. Temporary unavailability of specific government databases does not constitute Platform downtime.
16. Term and Termination
16.1 Term
These Terms are effective from your first use of the Platform and continue until terminated in accordance with this section.
16.2 Termination by Client
You may terminate your account at any time by:
- Submitting a written termination request to support@docuexprt.com
- Providing at least 30 days' written notice for accounts with active token balances
16.3 Termination by Splashgain
Splashgain may terminate or suspend your account:
- Immediately and without notice if you materially breach Sections 6, 7, or 8 (acceptable use, prohibited uses, or data misuse)
- With 30 days' notice for convenience
- Immediately if you become insolvent, make assignments for the benefit of creditors, or become subject to bankruptcy proceedings
16.4 Effect of Termination
Upon termination:
- Your license to use the Platform ceases immediately
- Unused tokens are subject to the refund policy in Section 5.5
- Splashgain will delete all Client workspace data within 30 days of the termination date
- Sections 10 (IP), 11 (Confidentiality), 12.3 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) survive termination
17. Modifications to the Platform and Terms
17.1 Platform Changes
Splashgain reserves the right to modify, update, or discontinue any feature, API, template, or verification service at any time. We will provide 30 days' notice for changes that materially reduce functionality.
17.2 Changes to These Terms
We may update these Terms at any time. For material changes, we will:
- Notify account holders via email at least 14 days before the effective date
- Post updated Terms on docuexprt.com/terms-of-use/
Your continued use of the Platform after the effective date of updated Terms constitutes acceptance. If you do not agree to updated Terms, you must terminate your account before the effective date.
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms are governed by and construed in accordance with the laws of India, specifically including:
- The Indian Contract Act, 1872
- The Information Technology Act, 2000 and rules thereunder
- The Digital Personal Data Protection Act, 2023
- Any other applicable Indian statutes
18.2 Dispute Resolution — Negotiation First
In the event of any dispute, both parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days from written notice of the dispute.
18.3 Arbitration
If negotiation fails, disputes shall be referred to binding arbitration conducted:
- Under the Arbitration and Conciliation Act, 1996 (as amended)
- By a sole arbitrator mutually appointed by both parties
- In Pune, Maharashtra, India
- In the English language
The arbitration award shall be final and binding on both parties.
18.4 Court Jurisdiction
For matters requiring urgent injunctive relief or enforcement of arbitration awards, both parties consent to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
18.5 International Clients
For Clients based outside India, these Terms and governing law remain as stated above. International Clients agree that Indian law governs this agreement and that Pune courts have jurisdiction, subject to any mandatory consumer protection laws that may apply in their local jurisdiction.
19. Miscellaneous
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any executed Order Form, Enterprise Agreement, or Data Processing Agreement, constitute the entire agreement between you and Splashgain regarding DocuExprt and supersede all prior agreements, representations, or understandings.
19.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
19.3 Waiver
Failure by either party to enforce any provision of these Terms does not constitute a waiver of future enforcement of that provision.
19.4 Assignment
You may not assign or transfer these Terms or your account to any third party without Splashgain's prior written consent. Splashgain may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
19.5 Force Majeure
Neither party is liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, internet outages, or unavailability of government databases.
19.6 Notices
All formal notices under these Terms must be sent in writing to:
- To Splashgain: legal@docuexprt.com or by post to the registered office address
- To Client: The email address registered on your DocuExprt account
Notices are effective upon receipt.
19.7 Relationship of Parties
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between Splashgain and Client.
19.8 Language
These Terms are written in English. In case of conflict between an English version and any translated version, the English version prevails.
